Terms and Conditions:

    1. General Terms and Conditions:

Six Feet Up Rescue cards may be redeemed solely for consulting services from Six Feet Up, Inc., Monday-Friday 8am-6pm US ET, holidays excluded. Cards are good for help with 1 support incident, for up to 2 hours of work, with a 12 business hour response time. Support must fall under Six Feet Up's areas of expertise. Cards have no cash value and are not redeemable for cash at any time. Resale of this card is prohibited unless authorized by Six Feet Up, Inc. No expiration date. No refunds. Liability is limited to the price paid for the card.

    2. Limitation of Liability

WE WARRANT THAT THE DELIVERABLES SHALL CONFORM TO THE PROJECT SPECIFICATIONS. YOU AGREE THAT WE RETAIN THE RIGHT TO ASSUME, AT OUR OWN EXPENSE, THE EXCLUSIVE DEFENSE AND CONTROL OF ANY THIRD-PARTY CLAIM THAT OUR PERFORMANCE OF THE PROJECT INFRINGED A COPYRIGHT, TRADE SECRET, TRADEMARK OR PATENT.

NOTWITHSTANDING THE FOREGOING, OUR MAXIMUM LIABILITY TO YOU, AND YOUR MAXIMUM REMEDY, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL BE LIMITED TO REIMBURSEMENT OF THE TOTAL FEES PAID BY YOU TO US UNDER THIS AGREEMENT. IN NO EVENT SHALL WE BE LIABLE FOR (A) ANY LOST DATA OR CONTENT, LOST PROFITS, BUSINESS INTERRUPTION OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE DELIVERABLES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (B) FOR ANY DAMAGES OR COSTS ARISING FROM ANY THIRD PARTY’S ACTIONS, FAILURE TO ACT, OR DELAY IN PERFORMING ANY OBLIGATION WHATSOEVER.

    3. Rights & Ownership

(a) The technologies Six Feet Up integrates and builds upon are open source. Six Feet Up shall be able to release portions of the work specified in this proposal back to the open source Community, especially in the case of a generic product that is not specific to Client’s needs and may be leveraged by other organizations. This code will be hosted on Six Feet Up’s public Subversion repository for anyone to download (read-only access) once the project is complete.

Client’s project specific code (e.g. template skin) shall be made available only to Client. The code will be hosted on Six Feet Up’s private Subversion repository until the project is complete. Then Six Feet Up may give Client a dump of the Subversion repository for Client to import into their own repository.

During the development of the project, Six Feet Up shall give Client a read and write access to both the public and private repositories so that Client may modify the code at their leisure and in coordination with Six Feet Up.

(b) All right, title, and interest in the website content shall be assigned to Client.

    4. Jurisdiction

You agree that any dispute arising out of or relating to the Project, the Deliverables, or this Agreement will be governed by the laws of the State of Indiana, excluding its conflicts of law provisions. You further consent to the personal jurisdiction of and exclusive venue in the federal and state courts located in and serving Indiana as the exclusive legal forums for any such dispute.
